2016 NOVEC Annual Meeting Scheduled for Sept. 14
Nomination Process Opens for NOVEC Board of Directors
NOVEC will hold its 2016 annual meeting on Sept. 14 at Battlefield High School in Haymarket, Virginia. Please save the date on your calendar and plan to attend. Cooperative members will receive invitations and meeting information in the mail in late August or early September.
At annual meetings, after enjoying a pasta dinner and visiting various Co-op displays, members conduct business and hear state-of-the-Cooperative reports from the board of directors chairman and the president/chief executive officer. Conducting business includes electing directors to serve on NOVEC’s board of directors. Since directors serve four-year staggered terms, two or three positions are up for election each year. In 2016, members will elect directors to represent District 4 (northwestern Prince William County, Sudley/Bull Run Mountain) and District 5 (Prince William County, south of Rt. 29 to Rt. 234).
Director Nominations
The Cooperative’s bylaws describe the nominating process in Article IV, Section 7: “Nominations for directors shall be made by any 15 or more members in writing over their signatures, said written nomination petitions to be delivered to the office of the president/CEO not less than 70 days prior to the next annual meeting. The secretary shall direct that the nomination petitions be published, online or in print, to the membership and that they be posted at the principal office of the Cooperative and shall mail with the notice of the meeting a statement of the number of directors to be elected and all the nominations made for said directorships. No additional nominations shall be made from the floor at the meeting of the members.”
Article IV, Section 5, addresses director qualifications: “As herein specified, all nominees shall be actual bona fide residents and domiciliaries of the particular districts from which they are nominated. Further, no member shall be eligible to become or remain a director of the Cooperative who is not an actual bona fide resident and domiciliary in the area served by the Cooperative, or who is in any way employed by or financially interested in a competing enterprise of a business selling electric energy to the Cooperative. When a membership is held jointly by two persons, either one, but not both, may be elected a director. Nothing in this section contained shall, or shall be construed to, affect in any manner whatsoever the validity of any action taken at any meeting of the board of directors.”
Deadline for Nominations
Any NOVEC member living in District 4 or in District 5 may run for the board of directors. To obtain a nomination petition, call customer service at 703-335-0500 or 1-888-335-0500 extension 1501. NOVEC must receive all nomination petitions by the close of business (5 p.m.) on Wednesday, July 6, 2016.

NOVEC will request permission from all candidates for an independently conducted background check. The results of all background checks will be provided to the board of directors and Nominees Evaluation Committee.
